HENDRX SOFTWARE TERMS OF SERVICE

This Terms of Service Agreement (“Agreement”) is a legal agreement between you (the “User” or “Licensee”) and HENDRX (“Company,” “we,” “us,” or “our”) governing your use of the HENDRX QuickBooks Wholesale Sync Plugin (the “Software”).
1. ACCEPTANCE OF TERMS
By installing, activating, or using the Software, you agree to be bound by this Agreement. If you are using this Software on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.
2. SCOPE OF SERVICE & DATA OWNERSHIP
The Service: The Software is designed to facilitate the synchronization of wholesale data between your HENDRX Client Portal/Website and your QuickBooks Online/Desktop account.
Data Ownership: Consistent with our User Agreement, you acknowledge and agree that HENDRX retains full ownership of all data collected through the Website, Client Portal, and the Library of Cannabis plugins.
Data License: You grant HENDRX a non-exclusive, royalty-free license to access, transmit, and process your data solely to provide the synchronization services and to improve software performance.
3. ACCOUNT ACCOUNTABILITY & SECURITY
API Credentials: You are responsible for maintaining the confidentiality of your QuickBooks API keys and HENDRX login credentials.
Authorized Use: You agree not to reverse-engineer, decompile, or attempt to extract the source code of the Software.
4. COMPLIANCE WITH CANNABIS LAWS (MAUCRSA)
Strict Compliance: Use of this Software is strictly conditioned upon your compliance with California Business and Professions Code Division 10 (MAUCRSA).
Verification: You represent that you hold all valid state and local licenses required for cannabis cultivation or distribution.
Reporting: You acknowledge that you are solely responsible for ensuring that the data synced to QuickBooks matches your required state-mandated “Track and Trace” (METRC) reporting. This Software is an accounting aid, not a compliance reporting tool.
5. FINANCIAL DATA ACCURACY & RELEASE OF LIABILITY
“As-Is” Software: The Software is provided on an “AS-IS” and “AS-AVAILABLE” basis.
No Audit Guarantee: HENDRX does not warrant that the data synchronization will be error-free or that the financial records produced will be sufficient for tax or audit purposes.
Release of Liability: You hereby release HENDRX, its affiliates, and employees from any and all liability, losses, or damages (including but not limited to accounting errors, tax penalties, loss of profit, or data corruption) arising from the use or inability to use this Software. You assume 100% responsibility for verifying the accuracy of all data imported into QuickBooks.
6. AGRICULTURAL DISCLAIMER
HENDRX is not liable for crop failure, genetic variation, or cultivation results. All genetic material referenced within the Software or synced through our portal is provided “as is” without warranty. Users assume full responsibility for cultivation outcomes and any financial projections based on the Software’s data.
7. PRIVACY, ANONYMITY, & HIPAA
Aggregation: We employ anonymous data aggregation methods to ensure individual user data remains private.
Confidentiality: While HENDRX is not a “Covered Entity” under the Health Insurance Portability and Accountability Act (HIPAA), we voluntarily respect the principles of HIPAA regarding the confidentiality of any personal health information that may be inferred through data synchronization.
Third-Party Data: You acknowledge that once data is synced to QuickBooks, that data becomes subject to Intuit’s (QuickBooks) Privacy Policy and Terms of Service.
8. TERMINATION
HENDRX reserves the right to terminate your access to the Software at any time, without notice, for any violation of this Agreement or if your underlying cannabis license is suspended or revoked by the State of California.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action shall be brought in the courts located in Humboldt County, California.
